About VersaFlex
VersaFlex Code of Ethics and Conduct
by David Cerchie, CEO
VersaFlex Incorporated
As VersaFlex has grown beyond a few individuals struggling to move a few objectives toward fruition; the number of business and personal circumstances out of which conflicts and resolutions have been addressed has become sufficiently large to merit establishment of some basic guidelines of behavior for all personnel. This brief discussion of basic principals for personal behavior of all associates of the company and the company overall should be a living element of the company and should be constantly expanded and reviewed to insure its viability.Vision and Purpose
All company associates should be committed to doing what is right and honorable. High standards should be set for ourselves; and a devoted aspiration to meeting those standards in all our activities should be the goal. Through objective efforts to define our goals and determine adherence to the objectives, we hope to provide beneficial guidance both within as well as outside our company.
Responsibility
Responsibility is our duty to take ownership for the decisions we make or fail to make, the actions we take or fail to take, and the consequences that result.
Standards:
-
Decisions and actions should always have a reference to the best interests of society and the company; public safety as well as employee safety and safeguarding of the environment generally.
-
We inform ourselves and uphold the policies, rules, regulations and laws that govern our work and activities.
-
It is better to say we have not done something, but that we would be happy to undertake a task of proof; than to try to configure our response.
-
Commitments undertaken should always be fulfilled – we do what we say we will do. Our word is our bond.
-
When an error or omission is made, we take ownership and make corrections promptly. When we discover errors or omissions caused by others, we communicate them to the appropriate parties as soon as discovered.
-
We accept accountability for issues resulting from our errors and omissions.
-
We protect proprietary or confidential information that has been entrusted to us.
-
We report unethical or illegal conduct to appropriate management and, if necessary, to those affected by the conduct.
-
We uphold this Code and hold each other accountable to it.
Respect
Respect is our duty to show a high regard for ourselves, others, and the resources entrusted to us. Resources entrusted to us may include people, money, reputation, the safety of ourselves and others, and natural or environmental resources. A climate of respect engenders trust, confidence and performance excellence by fostering mutual cooperation.
Standards:
-
We listen to others’ points of view, seeking to understand them.
-
We negotiate in good faith. Remember, we all speak for VersaFlex, and our word is our bond.
-
We approach directly those persons with whom we have a conflict or disagreement.
-
We conduct ourselves in a professional manner, even when it is not reciprocated.
-
We do not act in an abusive manner toward others.
-
We respect the property rights of others.
Fairness
Fairness is our duty to make decisions and act impartially and objectively. Our conduct must be free from competing self interest, prejudice, and favoritism. If our product offerings cannot resolve a problem we attempt to give the best information we are able to provide to resolve the inquirer’s problem.
Standards:
-
We demonstrate transparency in our decision-making process.
-
We proactively and fully disclose any real or potential conflicts of interest to the appropriate stakeholders.
-
We constantly re-examine our impartiality and objectivity, taking corrective action as appropriate.
-
When we realize that we have a real or potential conflict of interest, we withdraw from the decision-making process or otherwise attempting to influence outcomes without full disclosure and consent of those affected.
-
We provide equal access to information to those who are authorized to have that information.
-
We do not hire or fire, reward or punish, award or deny benefits based on personal considerations, including but not limited to, favoritism, nepotism, or bribery.
-
We all have our good days, and conversely, we all have days we are not proud of.
-
We do not discriminate against others based on, but not limited to; gender, race, age, religion, disability, nationality, or sexual orientation.
Honesty
Honesty is our duty to understand the truth and act in a truthful manner both in our communications and in our conduct.
Standards:
-
We earnestly seek to understand the truth.
-
We are truthful in our communications and in our conduct.
-
We provide accurate information in a timely manner.
-
We make commitments and promises, implied or explicit, in good faith.
-
We strive to create a climate in which others feel safe telling the truth.
-
We do not condone behavior that is designed to deceive others.
-
We do not engage in dishonest behavior with the intention of personal or business gain or at the expense of another.
